Terms of Service

These Terms of Service govern your use of the VPAA ecosystem, including vpaa.us, castingexchange.com (VCX), vtregistry.com (VTR), and vbexchange.us (VBX), operated by the Vertical Production Association of America ("VPAA," "we," "us," or "our").

1. Acceptance of Terms

By creating an account or using any VPAA platform, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use our services.

2. Eligibility

You must be at least 18 years old to use our services. By creating an account, you represent that you are at least 18 years of age and have the legal capacity to enter into these terms.

3. Accounts and Registration

You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. VPAA reserves the right to suspend or terminate accounts that violate these terms or contain false information.

4. VCX Casting Exchange — Platform Terms

The Vertical Casting Exchange (VCX) connects talent with productions in the vertical drama industry. By using VCX, you agree to the following:

• Talent members are charged 2% of confirmed booking value, capped at $2,500 per year. VPAA members are charged 1%, capped at $1,500.
• Agent/Manager accounts are charged $99/year. VPAA members pay $49/year.
• Production and Casting Director accounts are charged $99/year plus $50 per confirmed booking, with a $750/month cap. VPAA members pay $49/year plus $25 per booking, capped at $375/month.
• All fees are non-refundable once services have been rendered.
• VCX does not guarantee bookings, auditions, or employment of any kind.
• Users are prohibited from submitting false credits, misrepresenting their identity, or engaging in fraudulent activity.

5. VPAA Membership

VPAA memberships are annual and non-refundable after 30 days. Membership grants access to member benefits including discounts on VCX, VTR, and VBX services, access to immigration documentation assistance, and CVA certification eligibility.

6. Visa Documentation Services

VPAA offers O-1, P-1, and EB-1 petition support letter services co-signed with our partnering immigration attorney. By submitting a visa application, you acknowledge:

• VPAA is not a law firm. Our support letters are provided as institutional endorsements, not legal advice.
• Payment for visa documentation services is non-refundable once letter drafting has begun.
• VPAA makes no guarantees regarding visa approval or USCIS decisions.
• Processing times are estimates and subject to change.

7. Prohibited Conduct

You agree not to:

• Submit false, misleading, or fraudulent information on any platform
• Harass, threaten, or harm other users
• Scrape, copy, or reproduce platform content without written permission
• Circumvent security measures or access unauthorized areas of our systems
• Use the platform for any illegal purpose
• Impersonate another person or entity

8. Content Ownership

You retain ownership of content you submit to VPAA platforms (headshots, reels, breakdowns, etc.). By submitting content, you grant VPAA a non-exclusive, royalty-free license to display and use your content for the purposes of operating the platform.

9. Disclaimers and Limitation of Liability

VPAA platforms are provided "as is" without warranties of any kind. VPAA shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services. Our total liability to you for any claims shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

VPAA may suspend or terminate your account at any time for violation of these terms. You may cancel your account at any time by contacting info@vpaa.us. Annual membership fees are non-refundable after 30 days.

11. Governing Law

These terms are governed by the laws of the State of Texas, United States. Any disputes shall be resolved in the courts of El Paso County, Texas.

12. Changes to Terms

We may update these terms from time to time. We will notify you of material changes via email. Continued use of our services after changes constitutes acceptance of the updated terms.
